Election of the Board of Directors and Auditors
The Annual General Meeting resolved that the Board of Directors for the period until the end of the next Annual General Meeting shall consist of
four ordinary members without deputies.
The following were elected as Board members:
David Nylén
Robin Stenman
Mikael Gottschlich
Björn Mannerqvist
David Nylén was elected Chairman of the Board.
In connection with the Annual General Meeting, board members Manfred Gottschlich, Andreas
Fredmark and former chairman Jonas Bertilsson will leave their positions in the Company. M.O.B.

David Nylén, Chairman of the Board
David Nylén, born in 1983, is a lawyer with more than ten years of experience from both legal practice and senior positions in the business sector. He has particular expertise in M&A, capital market issues, corporate governance and commercial agreements.
David Nylén is considered to bring relevant experience to the Board for the Company's continued strategic development.
Robin Stenman, Board Member
Robin Stenman, born 1988, is an entrepreneur with extensive experience in digital business models,
technology development and growth companies. He has been active for many years as a founder
and CEO in a listed environment and has held several board positions. Robin
Stenman also has significant expertise in artificial intelligence (AI) and how AI can
be used to streamline operations, develop products and create new
business opportunities.
Mikael Gottschlich, Board Member
Mikael Gottschlich is a co-founder of M.O.B.A. Network and a long-term shareholder in the Company. He has been involved in the business since its inception and possesses deep knowledge of the Group’s operations, markets, and long-term development. His continued presence on the Board ensures continuity in the Company’s strategic work.
Björn Mannerqvist, Board Member
Björn Mannerqvist is a co-founder of M.O.B.A. Network and has been active within the
Group since the company's founding. He is currently Chief Operating Officer (COO) and has for many years had operational responsibility for the Group's operations, acquisition integrations, product development and organizational development. Through his long experience from the Company, Björn Mannerqvist possesses in-depth knowledge of the Group's
operations, markets and strategic development.
The Annual General Meeting further resolved to re-elect the registered accounting firm Grant
Thornton Sweden AB as the Company's auditor for the period until the end of the 2027 Annual General Meeting.
Grant Thornton Sweden AB has announced that the authorized public accountant Carl Niring
will continue to be the auditor in charge.
Adoption of the income statement and balance sheet
The Annual General Meeting adopted the income statement and balance sheet, as well as the consolidated income statement and consolidated balance sheet, for the 2025 financial year.
Allocation of profit
The Annual General Meeting decided, in accordance with the Board's proposal, that no dividend shall be paid
for the financial year 2025 and that the year's profit be carried forward.
Discharge from liability
The Annual General Meeting decided to grant the members of the Board of Directors and the CEO
discharge from liability for the financial year 2025.
Determination of the number of board members and auditor
The Annual General Meeting resolved that the board shall consist of four (4) ordinary members without
deputies.
The Annual General Meeting further resolved that the Company shall have a registered accounting firm as auditor.
Fees
The Annual General Meeting resolved that the Board fee shall be paid in a total of SEK 280,000 for the period
until the end of the next Annual General Meeting and shall be distributed as follows:
Chairman of the Board, David Nylén: SEK 150,000
Robin Stenman: SEK 65,000
Mikael Gottschlich: SEK 65,000
Björn Mannerqvist: SEK 0
Björn Mannerqvist does not receive any remuneration for his board assignment as he is employed by the Company and receives remuneration within the framework of his operational role as Chief Operating Officer. The Annual General Meeting further resolved that there shall be no audit committee and that no special fee shall be paid for committee work. Auditors' fees shall be paid according to approved invoices.
